NOLIO, a French simplified joint-stock company (Société par Actions Simplifiée) with a share capital of €70,000, whose registered office is located at 21 Avenue Victor Hugo 38170 Seyssinet-Pariset, registered with the Grenoble Trade and Companies Register (Registre du Commerce et des Sociétés) under number 878 803 469, operates the website https://www.nolio.io/ (hereinafter, the Site).
The Site is an interactive platform for the monitoring, planning and analysis of training workouts that allows its Users, Athletes and Coaches, to organize and facilitate their training workouts.
These general terms and conditions are intended for the Users of the Site, namely:
Athletes, who use the Site to facilitate the organization of their training workouts, but also to consult training plans;
Coaches, who use the Site to supervise the Athletes in their charge, by accessing the data collected by the latter.
Some provisions of these general terms and conditions are applicable to all Users, while other provisions are specific to Athletes or Coaches.
The purpose of these general terms and conditions of use is to define the terms under which NOLIO allows Users to use the Service, whether free of charge or for a fee.
Within these general terms and conditions, the terms below shall be defined as follows:
Users: any natural person using the Service, whether free of charge or for a fee, including Coaches and Athletes;
Coaches / Clubs: any natural person or legal entity using the Service in order to supervise the Athletes in their charge, by accessing the data collected by the latter;
Athletes: a natural person using the Service in order to facilitate the organization of their training workouts and to organize their competitions, but also to consult training plans;
Link (or Linking): a connection between two User accounts, allowing each of the two Users to view the Sports Data of the Linked account;
Service: the online services offered by the Site, allowing the Athletes and the Users to optimize their training workouts and organize their competitions;
Site (or Application): this is the website https://www.nolio.io/ which serves as the medium for the Service.
The purpose of these general terms and conditions of use (hereinafter the Terms) is to define the terms under which NOLIO allows Users to access the Application.
These Terms are accessible at any time on the Application.
Downloading the Application, opening a personal account and, more generally, using the Service are subject to the User's acceptance, without limitation or reservation, of these Terms.
NOLIO reserves the right to supplement or amend these Terms at any time, which shall, where applicable, be subject to a new acceptance by the User.
In order to access the Site, the User must open an account.
The username and password (hereinafter the Credentials) are created by the User upon registration and allow the User to access the Site.
The Credentials can be modified online by the User in their User Account.
The Credentials are confidential and non-transferable; the User undertakes not to disclose them to third parties and to ensure their confidentiality.
NOLIO shall not be held liable for any direct or indirect damages suffered by the User or by third parties, resulting from fraudulent access to the personal space of the User following a disclosure of their Credentials.
The User undertakes to provide accurate and truthful information about their situation, to carry out a regular verification of the data concerning them, and to make online, in their User Account, where applicable, the necessary changes.
The Site is intended for Athletes and Coaches.
The Service allows Users to facilitate the organization of the training workouts of the Athletes, in particular by managing the schedule of training workouts and competitions.
The Service offers Coaches a tool for supervising the Athletes in their charge, in order to monitor them, to plan training workouts, to analyze their performance and progress and to communicate with them.
The Service allows Athletes to schedule training plans, to synchronize their training workouts, to analyze the data from their training workouts and to measure their progress.
The Site further offers Users the following services, without this list being exhaustive, namely:
Transaction facility for the services provided by the Coach (subscription to sports coaching and purchase of training plans),
Integrated, automatic and secure payment.
As this list of services is not exhaustive, it may be revised, supplemented or limited. In particular, NOLIO may update the features of the Service, without this being considered grounds for termination of the contract.
To access and use the Service, the User must have compatible equipment allowing access to the Internet network.
NOLIO undertakes to exercise all necessary care and diligence to ensure the permanence, continuity and quality of service in accordance with industry standards and the state of the art. In this respect, it is bound by a best-efforts obligation (obligation of means).
NOLIO reserves the right to suspend access to the Site for any maintenance or Service improvement work.
Users hereby acknowledge that the fluctuations in bandwidth and the uncertainties of the access provider and of the networks of connected devices, and the interruption of the Service ordered by an administrative or judicial authority, may cause a discontinuity in access to the Site, independent of the will and beyond the control of NOLIO.
Users shall refrain from using the Service to engage in unlawful, threatening or obscene activities, to intimidate or harass, in any manner whatsoever, other Users, or from using the Service for purposes contrary to these Terms.
Users undertake in particular to:
Not use the Services or send messages that are contrary to laws and regulations, in general to public order and morality, and more specifically in order to organize an activity contrary to laws and regulations;
Not make statements or transmit any content of a political, racist, xenophobic, discriminatory, malicious, coarse, insulting, defamatory, hateful, obscene, pornographic or violent nature, harmful to persons, to privacy, to confidentiality, to Institutions, or to the laws and regulations in force;
Not distribute content (in particular photos, videos, sound recordings) that (i) is intended for an adult audience (in particular elements containing sexual or pornographic references), (ii) allows the identification of a person other than yourself, (iii) contains personal information concerning third parties, and (iv) includes elements protected by copyright or any other intellectual property right;
Not obstruct or interfere with the normal functioning of the Site, in particular through the use of viruses or the mass sending of messages;
Minors are permitted to access the Site on the express condition that they have previously obtained authorization to use the Service from their parents or from the person exercising parental authority.
By registering, the minor User declares that they have received the aforementioned prior authorization, and the parents or holders of parental authority consequently agree to act as guarantors of compliance with all the provisions of these general terms and conditions and, where applicable, the special conditions of certain services. They acknowledge that it is their responsibility to supervise the use made of the Services by minor children.
In this respect, NOLIO reserves the right to request a document justifying the parental authorization and to carry out any useful verifications, as well as to delete the registration of the minor child who does not immediately provide the said justification. Furthermore, NOLIO undertakes to immediately delete any personal account upon receipt of a parental request to that effect.
NOLIO offers its Users a discussion forum.
NOLIO shall not be held liable for any unlawful content that may have been published on this discussion forum.
In this respect, NOLIO reserves the right to delete any unlawful content published on this discussion forum.
In particular, without this list being exhaustive, any publication that constitutes defamation, insult, an infringement of an intellectual property right, or that amounts to the condoning of crimes against humanity, the incitement to commit acts of terrorism and the condoning thereof, the incitement to racial hatred, to hatred against persons on account of their sex, their sexual orientation or identity, or their disability, as well as child pornography, the incitement to violence, in particular the incitement to violence against women, as well as the attacks on human dignity, is deemed to be unlawful content.
The content of the Site is the property of NOLIO and its partners and is protected by French and international intellectual property laws.
Any total or partial reproduction of this content is strictly prohibited and may constitute an offense of infringement.
The role of the company NOLIO is limited to enabling Athletes and Coaches to organize their relationship, by establishing a link that allows them to share the use of the Services, without taking part in the relationship formed between them.
The company NOLIO cannot be characterized as:
A Coach, insofar as it does not determine the conditions under which the Athletes will train.
A Seller or Buyer of training plans, insofar as its role is limited to providing Users with a transaction facility, the sales contract being formed solely and exclusively between the Buyer-Athlete and the Seller-Coach; the company NOLIO is not a party to said contract.
An agent or representative of the Seller-Coach.
As a consequence of the foregoing provision, the company NOLIO cannot be held liable:
For any damages whatsoever arising during a training workout, and in particular related to its performance, improper performance or non-performance, and to the contractual relationship between the Athlete and the Coach.
For any damages and losses resulting from the sales or services contract concluded between the Coach and the Athlete or arising from said contract; in particular, the company NOLIO provides no warranty as to the content of the sports coaching services or the training plans, and cannot be held liable for delays or for the Coach's inability to meet its own obligations.
And more generally, for any direct or indirect damages resulting from the use of the Site, and in particular any loss such as commercial loss (loss of customers, profits, earnings, contracts, anticipated savings, data or unnecessary expenses), harm to brand image or any third-party claim.
In any event, the company NOLIO's liability for direct damages resulting from faults attributable to it is limited, for all causes combined, to an amount capped at the annual cost of the subscription that gave rise to the loss.
The User acknowledges having read and accepted the company NOLIO's privacy policy, which specifies the conditions under which their personal data is processed and under which they may exercise the rights granted to them by the legislation in force.
Nolio undertakes to carry out the processing of personal data on the user's instructions.
Insofar as Nolio finds that an instruction constitutes a breach of the applicable regulations, it immediately informs the data controller
For their part, the user shall notify Nolio, as soon as possible, of any malfunction of the application or any elements that may relate to a potential data breach, namely a breach of the confidentiality, availability or integrity of the data.
Nolio guarantees the confidentiality of the personal data processed under this contract and undertakes to use, in particular for data hosting, subsequent sub-processors providing sufficient guarantees as to the protection of personal data.
Any event affecting, for any reason whatsoever, the existence of a contractual provision, in particular its deletion, impossibility of performance or invalidation by a court decision, that is severable from the other provisions hereof, shall not affect the binding nature of the parties' performance of the other provisions of these Terms.
These Terms are governed by French law.
Regarding the Seller-Coach, in the event of any dispute or claim against us, absent any fault on our part, relating to your services, actions, content or information provided through the Site, you agree to release us from all liability.
All disputes that may arise from the purchase and sale transactions concluded pursuant to these Terms, concerning their validity, interpretation, performance, termination, consequences and effects, and which could not be resolved between the seller and the customer, shall be submitted to the competent courts under ordinary law.
The User is informed that they may in any event resort to conventional mediation, in particular before the Consumer Mediation Commission (French Consumer Code, art. L 612-1) or before the Medicys Mediation and Cyber-Services Center (73 Boulevard de Clichy 75009 PARIS, https://conso.medicys.fr, contact@medicys.fr), whose references appear on the website "Indicate the website " or through any alternative mode of dispute resolution (conciliation, for example) in the event of a dispute.
Access to the services offered by the company NOLIO to Athletes is free, with the exception of the optional paid Services set out below.
Access to the services offered by the company NOLIO to Coaches and Clubs requires taking out a paid subscription.
The company NOLIO offers Coaches, Clubs and Athletes optional paid services in addition to the basic services, namely:
Premium Athlete subscription.
Transaction facility for the services provided by the Coach (subscription to sports coaching and purchase of training plans),
Integrated, automatic and secure payment service for sports coaching subscriptions.
The company NOLIO only accepts payments by bank card, SEPA direct debit, Google Pay or Apple Pay.
The payment system is outsourced to an approved payment service provider named STRIPE, which handles the processing of payments as well as the safekeeping of funds and payment data.
Users accept that the company NOLIO shares your information relating to the payments concerned with this third party.
By accepting these Terms of Use, Users declare that they have read and accept the General Terms and Conditions of said provider.
The company NOLIO does not retain any bank details.
In the context of a subscription already taken out (Coach or Club subscription or premium Athlete subscription), the User will be charged monthly or annually, on the calendar day of the first charge of the subscription.
In the context of the use of the transaction facility and the integrated, automatic and secure payment service, the service fees of the company NOLIO, further detailed below, will be deducted directly from the transaction funds.
In consideration for the use of the optional paid services, Users must pay service fees.
The use of the premium Athlete features requires taking out a paid subscription at the expense of the Athlete benefiting from it.
The use of the transaction facility and the integrated, automatic and secure payment service requires the payment of service fees for each transaction completed online via the Site.
The service fees will be deducted directly from the transaction funds prior to their transfer to the Seller-Coach's Balance.
The total amount of these fees will be indicated to the Seller-Coach on the Site before each transaction.
The service fees will be deducted only if the transaction takes place, that is to say in the event of a transfer of the Buyer-Athlete's funds.
The amount of the fees for optional paid services is indicated directly on the Site.
With regard to the use of the transaction facility and the integrated, automatic and secure payment service, the transaction funds will, after deduction of the service fees, be kept securely within an electronic wallet dedicated to the Seller-Coach named "Balance".
This Balance functions as an escrow account personal to the Seller-Coach.
At any time, from their User Account, they may view the current amount of the escrowed funds and the history of fund transfers.
The transfer of the escrowed funds will be carried out automatically, on a weekly or monthly basis at the Coach's choice, to their bank account with no fees other than the aforementioned service fees already paid.
The processing of the payment and the safekeeping of the funds will be carried out through the service provider STRIPE (see dedicated paragraph above).
For any payment made through the Site, the sending and/or receiving Users accept the following payment terms:
You undertake to provide a valid payment identifier.
You confirm that you have the necessary authorizations to use this payment identifier; in particular, if you are under eighteen (18) years of age, you confirm that you use the payment features of the Site under the supervision of a parent or legal guardian.
You acknowledge that you are responsible to us for the payment but also for all third-party fees that may result from it (invalidation or cancellation of the payment, overdraft fees or other fees imposed by your bank, etc).
You undertake not to use the payment service for any illegal or unlawful transaction.
Specifically, in the context of the use of the optional paid Services, you acknowledge that the transactions are made at your own risk and in particular, without these circumstances being exhaustive, as regards the identity of the sender or the recipient or in the event of non-payment. Disputes may only concern the sender and the recipient of the payment, the company NOLIO having neither of these two capacities.
In the event of failure to comply with these general terms, the company NOLIO reserves the right, at its sole discretion and without prior notice, to:
Charge your payment identifier or exercise any legal recourse allowing it to collect the funds, within the limits of applicable laws.
Cancel the transactions.
Withhold from your transactions or place the funds concerned in reserve.
Limit the use of the site, in particular by deactivating your account.
Report your illegal or unlawful activity to the competent authorities.
According to Article L. 221-28 of the French Consumer Code, the right of withdrawal cannot be exercised for the supply of digital content not supplied on a tangible medium whose performance has begun after the consumer's prior express consent and express waiver of their right of withdrawal.
Since the Services subscribed to by Users consist of the supply of digital content not supplied on a tangible medium whose performance has begun after the consumer's prior express consent and express waiver of their right of withdrawal, Users do not benefit from the right of withdrawal.
No conditions
Anyone may take out a premium athlete subscription without any particular condition.
Obligations of the Athlete
The Athlete undertakes to display proper conduct, which is essential to protecting the standing and reputation of the company NOLIO.
Subscription price
The subscription price is indicated on the Site.
The monthly subscription price may be revised by the company NOLIO, which will notify the Athlete by email with thirty days' notice.
The Athlete who does not accept the revision of the monthly subscription price may cancel their subscription within a period of thirty days; failing cancellation within this period, the new rate will apply.
14 Days' free trial
Each Athlete who takes out a subscription to the NOLIO platform will be offered fourteen (14) days of free trial, with no commitment on their part.
At the end of the 14 days of free trial, the Athlete must take out a paid subscription in order to continue using the services offered by the Site.
A person may not, in order to benefit from several free trial periods, create different User accounts. If a User creates several accounts in order to benefit from several free trial periods, the company NOLIO will revoke all the accounts thus created.
Referrals
Each User who has taken out a paid subscription may refer other Users, so that they take out a paid subscription, excluding the mobile application.
The User benefiting from the referral (the referred user) will be granted a 50% discount on their first installment.
The User who offered the referral (the referrer) will be granted a discount equal to 50% of the amount saved by their referred user on their next invoice.
Subscription term
The term of the paid subscription to the services of the Site is indefinite.
Cancellation
The paid subscription to the services of the Site may be cancelled at any time.
The cancellation takes effect at the end of the subscription period initially taken out.
For example, for a monthly subscription taken out on 7 January, the cancellation will take effect on 7 February, regardless of the exact date of the cancellation request between 7 January and 7 February.
The company NOLIO reserves the right to deactivate the account of the User in the event of failure to pay the price.
Qualification requirement
The Coach who is paid for their services must hold a diploma, a vocational qualification title, or a certificate of professional qualification, guaranteeing their competence with regard to the safety of practitioners and third parties in the activity concerned, and registered in the national register of professional certifications under the conditions provided for in Article L. 6113-5 of the French Labour Code, or any other title referred to in Article L. 212-1 of the French Sports Code.
The Coach or the Club undertakes to inform the company NOLIO without delay of any event likely to call into question the possession of this qualification.
Obligations of the Coach - of the Club
The Coach or the Club undertakes to comply, in all circumstances, with the rules and codes of good conduct relating to their profession when using the Service.
The Coach or the Club also undertakes to demonstrate, for the benefit of the Athletes, a proper appearance and conduct, which are essential to the exercise of their profession and to protecting the standing and reputation of the company NOLIO.
Subscription price
The various pricing plans for Coach and Club subscriptions are indicated on the Site.
The monthly subscription price may be revised by the company NOLIO, which will notify the Coach by email with thirty days' notice.
The Coach or the Club who does not accept the revision of the monthly subscription price may cancel their subscription within a period of thirty days; failing cancellation within this period, the new rate will apply.
Free trial month
Each Coach or each Club who takes out a subscription to the NOLIO platform will be offered one free trial month, with no commitment on their part.
At the end of the free trial month, the Coach or the Club must take out a paid subscription in order to continue using the services offered by the Site.
A person may not, in order to benefit from several free trial months, create different User accounts. If a User creates several accounts in order to benefit from several free trial months, the company NOLIO will revoke all the accounts thus created.
Referrals
Each User who has taken out a paid subscription may refer other Users, so that they take out a paid subscription, excluding the mobile application.
The User benefiting from the referral (the referred user) will be granted a 50% discount on their first installment.
The User who offered the referral (the referrer) will be granted a discount equal to 50% of the amount saved by their referred user on their next invoice.
Subscription term
The term of the paid subscription to the services of the Site is indefinite.

The company NOLIO reserves the right to deactivate the account of the User in the event of failure to pay the price.
Athletes' data
As a coach, you may be linked to other users, and these users will enter some of their personal data into their dedicated space.
If that user belongs to your team, you will have access to this data, which entails a responsibility on your part. This data reveals sensitive elements about the person concerned and must be afforded a certain level of confidentiality.
Accordingly, it must be processed fairly, transparently, and exclusively for the purpose established with the athlete. Any misuse departing from this purpose is punishable under Article 226-21 of the French Criminal Code.
To avoid any inappropriate use of the data present on the application, you must discuss with your athlete, in this regard, the purposes and methods of the processing carried out (collection, modification, transmission, destruction, etc…).
Athlete's archives with respect to the coach
If the athlete leaves the coach's team, an archiving system allows the coach to continue viewing part of the athlete's data for the period during which the coach trained the athlete. The athlete or the coach may delete this archive at any time. This archive is automatically deleted after 3 years.
Through the Site, Users may:
Offer / Take out a sports coaching subscription;
Sell / Buy training plans.
Use of the transaction facility is subject to acceptance of specific conditions.
The transaction facility offered by the Site is dedicated exclusively to the taking out of sports coaching subscriptions and to the sale of training plans.
Sales Guide
The Seller-Coach may put up for sale their sports coaching services and/or one or more training plans from their User account. They must complete a presentation sheet that will be accessible from their personal page and the publication of which constitutes an offer for sale that may be accepted by a Buyer-Athlete.
The Seller-Coach is informed that they will not have the ability to manually accept orders, acceptance being automatic.
With respect to sports coaching services, however, the Site offers the Coach the ability to set a limited number of subscription sign-ups.
The transaction funds will, after deduction of the aforementioned service fees, be held securely within the Coach's Balance.
The Seller-Coach acknowledges that they are solely responsible for the issuing of invoices for the products and services they sell through the Site. The company NOLIO may not, under any circumstances, be responsible for the issuing of an invoice on behalf of said Seller-Coach.
Obligations of the Seller-Coach
The Seller-Coach acknowledges that the company NOLIO constitutes only a transaction facility and that all obligations and responsibilities inherent to the status of seller / service provider are borne by them alone. They are therefore solely responsible for claims or disputes relating to the sale / service contracts entered into and undertake to comply with all applicable laws and regulations.
The Seller-Coach acknowledges and accepts that any breach on their part of these Terms of Use as well as of laws and regulations is liable to result in, without limitation, the removal of the offer for sale, or even the suspension or termination of their User account, at the sole discretion of the company NOLIO.
The Seller-Coach hereby authorizes the company NOLIO to provide the Buyer-Athlete with all information in its possession regarding them in order to enable the latter to contact them in the event of a dispute.
Purchase Guide
A presentation sheet for the sports coaching subscriptions and the training plans is accessible from the personal page of the Seller-Coach.
From this presentation sheet, the Buyer-Athlete may place an order by clicking the “Buy” button appearing in a payment summary table.
The Buyer-Athlete will then be redirected to a page dedicated to payment.
A confirmation message will be sent to the Buyer-Athlete after placing the order.
If the Buyer-Athlete is not already a User of the NOLIO platform, an Athlete account will be automatically created upon ordering.
At the time of ordering, the Buyer-Athlete will be offered the option to take out a premium athlete subscription. In the case of the purchase of a training plan, the premium athlete subscription will be checked by default.
The Buyer-Athlete agrees that the receipt will be sent to them electronically.
Rights and obligations of the Buyer-Athlete - Guarantee offered by Nolio
The Buyer-Athlete acknowledges that the company NOLIO constitutes only a transaction facility and that the products and services purchased through it are sold by third parties.
The company NOLIO gives no warranty, express or implied, as to the products or services sold through it.
The company NOLIO informs the Buyer-Athlete of their legal right to receive the products purchased and the services provided within a reasonable time or, failing that, to receive a refund.
The Buyer-Athlete acknowledges that they may seek recourse only against the Seller-Coach of the product acquired.
The company NOLIO undertakes to make every effort to ensure the security and completion of the transaction. This is a best-efforts obligation (obligation of means) and not an obligation of result.
By clicking the “Buy” button, the Buyer-Athlete expressly declares that they accept:
To enter into a sale and/or service contract with the Coach ;
To fulfill the payment obligation to which they commit;
That any breach of their payment obligation may result in an action for enforced performance by the Coach;
These Terms of Use, as well as the additional terms of the Seller-Coach where applicable and of the payment provider.
The Coach may, at any time, modify the price of subscriptions to their coaching services.
The Athlete will be informed of the price revision by email sent to their personal mailbox as well as by a notification delivered on the NOLIO platform.
The Athlete may then accept or refuse the price revision.
The Athlete's silence shall never constitute acceptance of the revised price on their part, which acceptance must necessarily be explicit.
Coaches may use the Site's integrated, automatic and secure payment Service.
Use of this service is subject to acceptance of specific conditions.
The company NOLIO offers Coaches an integrated, automatic and secure service for the payment of their coaching services.
The payment service is integrated within the NOLIO platform: the Coach may choose to use the Service for any Athlete already a user of the platform; furthermore, any subscription taken out by an Athlete through the aforementioned transaction facility will automatically benefit from said Service.
The payment service is automatic: a charge will be made monthly to the Athlete's payment identifier.
The payment service is secured through its outsourcing to the approved payment provider named STRIPE.
The Coach may set up, view and manage the Athletes' automatic charges directly from the dedicated page of their User account.
In order to initiate the Service manually, the Coach must enter the amount of the service and the account of the Athlete User concerned.
The Athlete will receive an email directly to their personal mailbox as well as a notification on the NOLIO platform in order to enter their payment identifier.
By entering their payment identifier, the Athlete accepts these Terms of Use.
The Service is initiated automatically when the Athlete takes out a sports coaching subscription through the Transaction facility.
A confirmation email of the setup of the automatic charge will be sent to the Coach as well as to the Athlete concerned.
The transaction funds will, after deduction of the aforementioned service fees, be held securely within the Coach's Balance.
The automatic charge may be interrupted at any time by the Coach or the Athlete from their User Account.
The Coach acknowledges that they are solely responsible for the issuing of invoices for the services and offerings they sell through the Site. The company NOLIO may not, under any circumstances, be responsible for the issuing of an invoice on behalf of said Seller-Coach.
